Terms of Service

These Terms of Service ("Terms") are a legal agreement between you ("you," "your") and Stonegate Labs LLC, an Illinois limited liability company ("Stonegate Labs," "we," "us," "our"). By accessing or using any of our products — SimpleWorkOrders, SiteVoz, Bump Reviews, or Sitecito (collectively, the "Services") — you agree to be bound by these Terms.

If you do not agree, do not use the Services.

1. Eligibility

You must be at least 18 years old to use the Services. The Services are not directed to and may not be used by anyone under 18. By creating an account, you represent that you are at least 18 years of age. If we learn that a user is under 18, we will terminate their account and delete their data.

2. Account Responsibilities

When you create an account, you agree to:

• Provide accurate, current, and complete information during registration
• Keep your login credentials secure and confidential
• Notify us immediately at [email protected] if you suspect unauthorized access
• Accept responsibility for all activity that occurs under your account

You may not share your account credentials with others or allow multiple people to use a single account unless your subscription plan explicitly permits it. We are not liable for any loss resulting from unauthorized use of your account.

3. Acceptable Use

You agree not to use the Services to:

• Spam or bulk messaging: Send unsolicited messages, advertisements, or promotions through the Services
• Illegal activity: Violate any applicable local, state, national, or international law or regulation
• Abuse or harassment: Threaten, harass, stalk, or harm another person or entity
• Malicious content: Upload viruses, malware, or any code designed to interfere with the Services
• Reverse engineering: Decompile, disassemble, reverse engineer, or attempt to derive the source code of any part of the Services
• Unauthorized access: Attempt to gain unauthorized access to the Services, other accounts, computer systems, or networks connected to the Services
• Scraping: Use automated means (bots, scrapers, crawlers) to access or collect data from the Services without our written permission
• Impersonation: Misrepresent your identity or affiliation with any person or entity
• Interference: Disrupt, overload, or impair the operation of the Services or the servers and networks used to make the Services available
• Circumvention: Bypass or attempt to bypass any security measures, rate limits, or access restrictions
• Fraudulent data: Submit false, misleading, or fabricated information through the Services

We reserve the right to investigate violations and may suspend or terminate your account at our sole discretion.

4. AI Processing Disclosure

Voice Transcription. When you use voice-related features (particularly in SiteVoz), your voice recordings are transmitted to OpenAI's Whisper API for transcription. The audio data is sent to OpenAI's servers for processing.

Text and Photo Analysis. When you submit text or photos for AI-powered analysis (such as estimate generation or content analysis), that data is sent to OpenAI's GPT models for processing.

Accuracy Disclaimer. AI-generated output — including transcriptions, analyses, summaries, and suggestions — is provided as-is and may contain errors, inaccuracies, or omissions. You are solely responsible for reviewing, verifying, and approving all AI-generated output before relying on it or sharing it with others. Stonegate Labs does not guarantee the accuracy, completeness, or fitness of any AI-generated content.

Third-Party Processing. Data sent to OpenAI is subject to OpenAI's own terms and privacy policies.

5. Service-Specific Terms

SiteVoz

SiteVoz records voice input for the purpose of generating transcriptions and estimates. By using SiteVoz, you:

• Consent to the recording of voice input you provide through the Service
• Acknowledge that recordings are transmitted to OpenAI for transcription
• Agree that you are responsible for obtaining any necessary consent from third parties before recording their voices through the Service
• Understand that you must comply with all applicable laws regarding voice and audio recording, including one-party and two-party consent laws in your jurisdiction

Sitecito

If you use Sitecito's custom domain feature:

• You are responsible for owning or having authorization to use any custom domain you connect
• You must properly configure DNS settings as instructed
• We provide SSL/TLS certificates for connected custom domains via automated provisioning
• We are not responsible for domain registration, renewal, or DNS issues outside our control

SimpleWorkOrders

Work order data, attachments, and communications you create through SimpleWorkOrders remain subject to the general content and data provisions of these Terms.

Bump Reviews

Review content collected through Bump Reviews is subject to the user content license in Section 6. You are responsible for ensuring that your use of review management features complies with applicable consumer protection and advertising laws.

6. User Content

You retain ownership of all content you submit, upload, or create through the Services ("User Content"). By submitting User Content, you grant Stonegate Labs a worldwide, non-exclusive, royalty-free, sublicensable license to use, reproduce, modify, process, adapt, create derivative works from, and display your User Content solely as necessary to:

• Operate, maintain, and improve the Services
• Process your content through AI and third-party services (such as transcription and analysis)
• Generate derivative outputs (such as transcriptions, summaries, and estimates) from your content
• Provide customer support
• Comply with legal obligations

This license continues for as long as your User Content is stored on the Services and terminates when you delete your content or your account, except where retention is required by law or legitimate business purposes (such as backups that expire in the normal course).

You represent that you have all necessary rights to grant this license and that your User Content does not violate any third party's rights.

7. Subscriptions, Payments, and Billing

Subscription Plans

The Services are offered on a subscription basis with monthly and annual billing options. Current pricing is available on each product's website.

Payment Processing

All payments are processed securely through Stripe. We do not directly store your full credit card or payment details. By providing payment information, you authorize us to charge your chosen payment method for the applicable fees.

Auto-Renewal

IMPORTANT — AUTOMATIC RENEWAL NOTICE (IL 815 ILCS 601): Your subscription will automatically renew at the end of each billing period (monthly or annually) at the then-current rate unless you cancel before the renewal date. You will be charged the applicable renewal fee using the payment method on file. You may cancel auto-renewal at any time through your account settings or by contacting us at [email protected]. Cancellation will take effect at the end of your current billing period.

Cancellation

You may cancel your subscription at any time. Upon cancellation:

• You retain access to the Services through the end of your current paid billing period
• No further charges will be made after the current period ends
• Your data will remain accessible during the remaining paid period

Refunds

We generally do not provide refunds for partial billing periods. If you believe you have been charged in error, contact us at [email protected] within 30 days of the charge, and we will review your request.

Price Changes

We may change subscription pricing with at least 30 days' prior notice. Notice will be sent to the email address associated with your account. Price changes take effect at the start of your next billing period following the notice. Your continued use of the Services after a price change constitutes acceptance of the new pricing.

Taxes

Subscription fees are exclusive of applicable taxes. You are responsible for any sales tax, use tax, VAT, or similar taxes imposed by your jurisdiction.

8. Intellectual Property

The Services — including all software, design, text, graphics, logos, and other materials — are owned by Stonegate Labs and protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any right, title, or interest in the Services except for the limited right to use them in accordance with these Terms.

"SimpleWorkOrders," "SiteVoz," "Bump Reviews," "Sitecito," and "Stonegate Labs" are trademarks of Stonegate Labs LLC. You may not use our trademarks without prior written permission.

9. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. We disclaim all warranties, including but not limited to:

• Merchantability — no guarantee the Services are fit for commercial use
• Fitness for a particular purpose — no guarantee the Services meet your specific needs
• Non-infringement — no guarantee the Services do not infringe third-party rights
• Accuracy — no guarantee that AI-generated content, transcriptions, analyses, or any other output is accurate, complete, or reliable
• Availability — no guarantee of uninterrupted or error-free operation

You use the Services at your own risk.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

Stonegate Labs' total cumulative liability to you for all claims arising out of or relating to these Terms or the Services shall not exceed the total amount you paid to Stonegate Labs during the twelve (12) months immediately preceding the event giving rise to the claim.

IN NO EVENT SHALL STONEGATE LABS BE LIABLE FOR ANY:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Cost of substitute services
• Damages arising from AI-generated output, including inaccurate transcriptions, analyses, or recommendations

These limitations apply regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow the exclusion of certain warranties or limitation of certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law.

11. Indemnification

You agree to indemnify, defend, and hold harmless Stonegate Labs, its officers, members, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Services
• Your User Content
• Your violation of these Terms
• Your violation of any third party's rights
• Your reliance on AI-generated output
• Voice recordings you make through the Services without proper consent

12. Dispute Resolution

Informal Resolution First

Before filing any formal legal action, you agree to contact us at [email protected] and attempt to resolve the dispute informally for at least 30 days. Most concerns can be resolved this way.

Jurisdiction and Venue

If informal resolution fails, any legal action or proceeding shall be brought exclusively in the state or federal courts located in Cook County, Illinois. You consent to the personal jurisdiction of such courts.

Class Action Waiver

You agree that any disputes will be resolved on an individual basis. You waive any right to participate in a class action, class arbitration, or any other representative proceeding.

13. Force Majeure

We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to: natural disasters, pandemics, war, terrorism, government actions, power outages, internet or telecommunications failures, cyberattacks, and failures of third-party service providers.

14. Termination

By You

You may terminate your account at any time by contacting us at [email protected] or through your account settings. Termination does not entitle you to a refund of any prepaid fees.

By Us

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice, if we reasonably believe you have violated these Terms.

Effect of Termination

Upon termination:

• Your right to use the Services ceases immediately (unless you have remaining prepaid time)
• We will retain your data for 30 days following termination, after which it may be permanently deleted
• Sections that by their nature should survive termination will survive, including: Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law

15. Electronic Communications

By creating an account, you consent to receiving electronic communications from us (including emails, in-app messages, and notices posted on the Services). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing, in compliance with the Electronic Signatures in Global and National Commerce Act (ESIGN Act).

16. General Provisions

• Severability. If any provision of these Terms is found to be invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
• Entire Agreement. These Terms, together with the Privacy Policy and any product-specific terms, constitute the entire agreement between you and Stonegate Labs regarding the Services.
• Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms without restriction (for example, in connection with a merger, acquisition, or sale of assets).
• Waiver. Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
• No Third-Party Beneficiaries. These Terms do not create any rights for any third party.

17. Governing Law

These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply to these Terms.

18. Changes to These Terms

We may update these Terms from time to time. We will notify you of material changes at least 30 days before they take effect by sending an email to the address associated with your account or by posting a prominent notice within the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.

4. Divulgación de Procesamiento con IA

Transcripción de voz. Cuando usas funciones de voz (especialmente en SiteVoz), tus grabaciones se transmiten a la API Whisper de OpenAI para transcripción.

Análisis de texto y fotos. Cuando envías texto o fotos para análisis con IA, esos datos se envían a los modelos GPT de OpenAI.

Aviso de exactitud. El resultado generado por IA puede contener errores. Eres responsable de revisar y verificar todo el resultado generado por IA antes de usarlo.

5. Términos Específicos del Servicio

SiteVoz

Al usar SiteVoz, consientes la grabación de voz que proporcionas, que las grabaciones se transmiten a OpenAI para transcripción, y que eres responsable de obtener el consentimiento de terceros antes de grabar sus voces.

Sitecito

Si usas dominios personalizados, eres responsable de poseer o tener autorización para usar cualquier dominio que conectes y configurar correctamente el DNS según las instrucciones.

SimpleWorkOrders

Los datos de órdenes de trabajo, archivos adjuntos y comunicaciones que creas están sujetos a las disposiciones generales de contenido y datos de estos Términos.

Bump Reviews

Eres responsable de asegurarte de que tu uso de las funciones de gestión de reseñas cumpla con las leyes aplicables de protección al consumidor y publicidad.

6. Contenido del Usuario

Conservas la propiedad de todo el contenido que envías a través de los Servicios ("Contenido del Usuario"). Al enviarlo, otorgas a Stonegate Labs una licencia mundial, no exclusiva y libre de regalías para usar, reproducir, modificar y procesar tu Contenido del Usuario únicamente para operar y mejorar los Servicios, procesar a través de servicios de IA y terceros, y cumplir con obligaciones legales.

7. Suscripciones, Pagos y Facturación

Planes de Suscripción

Los Servicios se ofrecen en base a suscripción con opciones de facturación mensual y anual. Los precios actuales están disponibles en el sitio web de cada producto.

Renovación Automática

AVISO DE RENOVACIÓN AUTOMÁTICA: Tu suscripción se renovará automáticamente al final de cada período de facturación al precio vigente a menos que canceles antes de la fecha de renovación. Puedes cancelar en cualquier momento desde la configuración de tu cuenta.

Cancelación

Al cancelar: conservas acceso hasta el final del período de facturación pagado; no se realizarán más cargos.

Reembolsos

Generalmente no ofrecemos reembolsos por períodos de facturación parciales. Si crees que se te cobró incorrectamente, contáctanos dentro de los 30 días del cargo.

Cambios de Precio

Podemos cambiar los precios con al menos 30 días de aviso previo. Los cambios entran en vigor al inicio de tu próximo período de facturación.

8. Propiedad Intelectual

Los Servicios son propiedad de Stonegate Labs y están protegidos por derechos de autor, marcas registradas y otras leyes de propiedad intelectual. "SimpleWorkOrders," "SiteVoz," "Bump Reviews," "Sitecito" y "Stonegate Labs" son marcas registradas de Stonegate Labs LLC.

9. Descargo de Garantías

LOS SERVICIOS SE PROPORCIONAN "TAL CUAL" Y "SEGÚN DISPONIBILIDAD" SIN GARANTÍAS DE NINGÚN TIPO. No garantizamos la exactitud del contenido generado por IA, la disponibilidad ininterrumpida ni que los Servicios satisfagan tus necesidades específicas.

10. Limitación de Responsabilidad

La responsabilidad total de Stonegate Labs no excederá el total que pagaste durante los 12 meses anteriores al evento que dio lugar al reclamo. En ningún caso seremos responsables por daños indirectos, incidentales, especiales o consecuentes.

11. Indemnización

Aceptas indemnizar y eximir de responsabilidad a Stonegate Labs de cualquier reclamo que surja de: tu uso de los Servicios; tu Contenido del Usuario; tu violación de estos Términos; tu violación de derechos de terceros; o tu dependencia del resultado generado por IA.

12. Resolución de Disputas

Resolución Informal Primero

Antes de presentar cualquier acción legal formal, acepta contactarnos en [email protected] e intentar resolver la disputa informalmente durante al menos 30 días.

Jurisdicción y Sede

Cualquier acción legal se presentará exclusivamente en los tribunales estatales o federales ubicados en el Condado de Cook, Illinois.

Renuncia a Demanda Colectiva

Las disputas se resolverán de manera individual. Renuncias al derecho de participar en una demanda colectiva.

13. Fuerza Mayor

No seremos responsables por fallas o retrasos debidos a causas fuera de nuestro control razonable, incluyendo desastres naturales, pandemias, acciones gubernamentales, interrupciones de internet y fallas de proveedores de servicios de terceros.

14. Terminación

Puedes terminar tu cuenta en cualquier momento. Podemos suspender o terminar tu acceso si razonablemente creemos que has violado estos Términos. Tras la terminación, tu derecho a usar los Servicios cesa inmediatamente.

15. Comunicaciones Electrónicas

Al crear una cuenta, consientes recibir comunicaciones electrónicas de nuestra parte, en cumplimiento con la Ley de Firmas Electrónicas en el Comercio Global y Nacional (ESIGN).

16. Ley Aplicable

Estos Términos se rigen por las leyes del Estado de Illinois, sin consideración de principios de conflicto de leyes.

17. Cambios a Estos Términos

Podemos actualizar estos Términos. Te notificaremos los cambios materiales al menos 30 días antes de que entren en vigor.
